These are the directors, who do not hold an executive position in the organization. They are also known as outside directors. These directors play a very important role in the governance of the company. As these directors do not have any other (than remuneration) material pecuniary relation or transaction with the company, its promoters, its management or its subsidiary, they will have unbiased judgment on the workings of the board and the company.
